These Terms of Service (the "Terms") govern your use of Alex, a software product provided by RBV Media LLC ("we", "us", "our"). By installing, signing into, or using Alex (the "Service"), you agree to be bound by these Terms.
1. The Service
Alex is an AI-assisted operations product delivered as a desktop application, a hosted dashboard, and supporting cloud infrastructure. We grant you a non-exclusive, non-transferable, revocable license to use Alex for your business operations during the period you maintain a paid subscription in good standing.
2. Subscription, payment, and cancellation
Access to Alex is sold on a recurring subscription basis. Fees, billing cycle, and tier are stated at the time of purchase. You may cancel at any time; cancellation stops future renewals but does not refund the current period unless required by law.
We may suspend or terminate your license at any time for non-payment, breach of these Terms, or abuse of the Service. Upon cancellation or termination, the Alex desktop application will refuse to launch within approximately five minutes via an automatic license check, and access to the hosted dashboard will be revoked. You can request export of your data prior to termination by emailing support@withalex.ai.
3. Acceptable use
You agree not to (a) reverse-engineer, decompile, or attempt to extract source code from the Alex binary except as expressly permitted by law; (b) resell or sublicense the Service; (c) use the Service to send spam, harass, or violate third-party rights; (d) use the Service in connection with unlawful conduct.
4. Third-party dependencies and outage disclaimer
Alex is built on top of third-party services that we do not control. By accepting these Terms you acknowledge and accept that outages, latency, rate limits, pricing changes, or service degradations originating from these providers may impact Alex availability, response quality, and feature behavior. Without limiting the foregoing, the Service depends on:
- Anthropic (anthropic.com) — provides the underlying language models that power Alex's reasoning and generation. Anthropic API outages, model deprecations, content policy changes, or rate limits may affect what Alex can do, when, and how fast.
- Railway (railway.app) — hosts our backend services and the auto-update endpoint.
- Upstash (upstash.com) — provides the Redis database that stores tenant configuration and operational state.
- GitHub (github.com) — hosts our release artifacts for the auto-update pipeline.
- Apple — code signs and notarizes the macOS application bundle. Notarization issues may delay installation or updates.
- Slack, Meta, Google, Stripe, and other integrations — when configured, Alex relays through these providers' APIs. Their outages or policy changes are passed through to you.
We do not guarantee uninterrupted operation of the Service. We monitor upstream dependencies and will make commercially reasonable efforts to mitigate impact, but you accept that downtime attributable to a third-party provider is not a breach of these Terms and not grounds for refund, except as required by law.
5. AI output disclaimer
Alex generates output using language models. AI-generated content may contain errors, hallucinations, or omissions. You are responsible for reviewing any AI-generated content before relying on it for business decisions, customer communications, or legal, financial, or medical purposes. We make no warranty as to the accuracy, completeness, or fitness of AI-generated output.
6. Your data
See our Privacy Policy for how we collect, use, and protect your data. You retain ownership of your inputs; we use them to provide the Service and to operate Alex on your behalf.
7. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Changes to these Terms
We may update these Terms from time to time. When we do, we'll bump the version string at the top of this page and the Alex desktop application will prompt you to review and accept the new version on your next launch. Continued use after acceptance of an updated version constitutes agreement to the new Terms.
10. Governing law
These Terms are governed by the laws of the State of South Carolina, United States, without regard to conflict-of-laws principles. Any dispute arising out of these Terms will be resolved exclusively in the state or federal courts located in Horry County, South Carolina.
